Job Summary:
JOB PURPOSE: This position is responsible for monitoring and analyzing executive and board compensation, coordinating the administration and communications for equity plans and SEC compliance for officers and non-employee directors.
MAIN ACCOUNTABILITIES: Coordinates the gathering of Company and peer data as it pertains to executive and board compensation and benefits. Responsible for being knowledgeable of Company stock and compensation plans. Familiar with Section 16 requirements regarding insider trading and capable of filing the appropriate forms with the SEC. Assists in preparations of proxy reports and annual meeting. Assists the Manager of Executive Compensation by maintaining records of all long term plans including the maintenance of all equity based programs records and files and maintaining and regularly reporting officer and non-employee board of director ownership requirements in accordance with established levels and procedures of required stock ownership. Assist and backup for SEC compliance filings for directors and officers. Assist and backup for Equilar database, SEC database and corporate governance rating firm analysis. Assists the Manager of Executive Compensation in handling the administration of executive compensation and benefits.
Qualifications
JOB REQUIREMENTS: BS Degree in Business, Finance or Accounting
Experience Required: Prior experience in equity compensation, compliance, and regulatory requirements. Experience in general accounting reporting and concepts.
Preferred: 3 yrs. Experience in Executive Compensation, Certified Equity Professional and/or Certified Compensation Professional designation.
Functional / Technical Requirements Required: Solid financial and analytical skills. Ability to present information and respond to questions from senior executives and human resource management. Highly Proficient in the use of spreadsheet and presentation applications.
Preferred: Skilled in SEC reporting.
